By accessing or using Tokatos (“the Service”), operated by Nusax Pte. Ltd. (“we”, “us”, or “our”), you agree to be bound by these Terms of Use.

Tokatos is an AI-powered secure infrastructure and workflow platform designed for accounting, corporate secretarial, and professional services firms (“Firms”). The Service processes data, documents, and messages to facilitate business operations, compliance tracking, and communication between Firms and their respective business clients (“Clients”).

Non-CSP & Non-Fiduciary Status: Nusax Pte. Ltd. is a software technology provider. We are not an ACRA Registered Filing Agent (RFA), Registered Corporate Service Provider (CSP), accounting entity, or law practice under the Corporate Service Providers Act 2024 or Accountants Act 2004. Tokatos does not provide legal, tax, accounting, or corporate secretarial advice and assumes zero fiduciary duties. Licensed Firms and their appointed Registered Qualified Individuals (RQIs) remain solely responsible for statutory registers, KYC/CDD assessments, and lodgement compliance.

• B2B Use Only: The Service is strictly for business and professional use.
• Confidentiality of Corporate Data: We recognize that Firms upload highly sensitive corporate and financial data (e.g., ACRA submissions, financial resolutions). This “Corporate Data” is strictly protected by our duty of confidence and is never sold, traded, or utilized outside the scope of providing the Service.
• Prohibited Uses: You agree not to use Tokatos to transmit any content that is defamatory, libelous, abusive, harassing, or otherwise unlawful. As a Network Service Provider under the Electronic Transactions Act (ETA), we hold zero liability for third-party content.
• WhatsApp Policies: You must comply with all applicable Meta platform policies when utilizing the Tokatos WhatsApp agent.

• All content, features, AI prompts, and workflow logic of the Service are proprietary and owned by Nusax Pte. Ltd.
• You are strictly prohibited from attempting to reverse-engineer, decompile, scrape, or extract any of the platform's proprietary architecture, source code, or AI instruction sets.

• Your Role as Data Controller: The Firm acknowledges that it is the Data Controller for all personal data processed through Tokatos regarding its own personnel and its Clients' officers, shareholders, and contacts. The Firm is responsible for ensuring compliance with the Personal Data Protection Act 2012 (PDPA).
• Tokatos's Role as Data Intermediary: Tokatos operates strictly as a Data Intermediary processing data pursuant to the Firm's instructions and in accordance with Singapore PDPA standards.
• Statutory & Contractual Grounds: The processing of corporate officer and shareholder identity data is conducted pursuant to statutory obligations under the Singapore Companies Act 1967, the Corporate Service Providers Act 2024, and the Legal & Regulatory Compliance Exception of the PDPA.

Tokatos uses artificial intelligence to triage messages, classify documents, draft documents, and orchestrate communications.

• Provided “As-Is”: AI-generated content is provided strictly “as-is.”
• Professional Verification Required: Professional users are solely responsible for reviewing, verifying, and approving any AI-generated outputs, calculations, or drafted resolutions before relying on them for financial, legal, or statutory compliance purposes.

• Indemnification: You agree to indemnify Nusax Pte. Ltd. against any third-party claims arising from your material breach of these Terms, unlawful transmission of defamatory or abusive content, or failure to maintain required regulatory licenses under the Corporate Service Providers Act 2024.
• Statutory & Regulatory Disclaimers: To the maximum extent permitted by applicable Singapore law (including the Unfair Contract Terms Act 1977), Nusax Pte. Ltd. shall not be liable for statutory fines, late filing penalties, or tax surcharges resulting from a Firm's failure to verify drafted filings or approve compliance deadlines.
• Liability Cap: In no event shall either party's aggregate liability exceed the total amounts paid by the Firm to Tokatos in the twelve (12) months immediately preceding the event giving rise to the claim, excluding gross negligence or willful misconduct.

Neither party shall be liable for service delays or failures resulting from causes beyond reasonable control, including natural disasters, acts of government, or infrastructure outages of essential third-party platforms (including Meta WhatsApp Business Cloud API, Google Cloud Platform, or SendGrid).

To mitigate third-party channel disruption, Tokatos incorporates an automated omnichannel fallback architecture: if a Meta WhatsApp delivery fails or the recipient's 24-hour service window has expired, the platform automatically routes the document or notification via secure transactional email.

Upon termination of your subscription, Tokatos provides a 90-day grace period during which the Firm retains full administrative access to export and download all Client Vault documents, case dossiers, statutory registers, and audit logs.

This 90-day window supports the Firm's statutory compliance with the 5-year document retention requirements under Section 199 of the Singapore Companies Act 1967. Following the expiration of the 90-day export window, all Firm tenant data will be permanently wiped from active databases in accordance with our data sanitization protocols.

Pursuant to Sections 8, 11, and 15 of the Electronic Transactions Act 2010 (ETA), you agree that electronic signatures executed via Tokatos's integrated Documenso engine satisfy legal requirements for signature and writing.

• Constitutional Authority: The Firm represents and warrants that the Constitutions of its client entities permit electronic signatures, circular resolutions, and digital approvals under the Singapore Companies Act 1967.
• Cryptographic Audit Trails: Cryptographic timestamped audit certificates generated via sign.tokatos.com record IP address, user agent, and SHA-256 document hashes, constituting reliable evidence of execution.
• Excluded Transactions: You agree not to utilize the Service to execute instruments excluded from the ETA First Schedule (including wills, indentures, trusts, or powers of attorney).

These Terms of Use shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to this contract, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC)in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause.

• The seat of arbitration shall be Singapore.
• The Tribunal shall consist of one (1) arbitrator.
• The language of the arbitration shall be English.
